By accessing or using Distal's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Distal Health, Inc. ("Distal," "we," "us," or "our"). We may update these Terms from time to time, and your continued use of the Services constitutes acceptance of any changes.

Distal provides a digital health platform designed to support patients during post-discharge recovery. Our Services include:

• Mobile applications for patient health tracking
• Caregiver communication and alert systems
• Healthcare provider dashboards and monitoring tools
• Educational content related to medical conditions
• Integration with electronic health record systems

Our Services are intended to supplement, not replace, professional medical care. Always consult with qualified healthcare providers for medical advice.

To use our Services, you must:

• Be at least 18 years of age (or have parental/guardian consent)
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

Healthcare providers and organizations must have appropriate licenses and authorization to access patient data through our platform.

IMPORTANT: Distal is not a medical device, medical advice service, or substitute for professional healthcare.

• Our Services provide information and tracking tools only
• Always seek advice from qualified healthcare providers
• In case of medical emergency, call 911 or your local emergency services
• Do not delay seeking medical care based on information from our platform
• Our AI-generated insights are informational, not diagnostic

Distal makes no warranties regarding the accuracy of health information or outcomes.

You retain ownership of the health data and content you provide through our Services ("User Content"). By using our Services, you grant Distal a limited license to:

• Store, process, and display your User Content to provide Services
• Share your data with authorized caregivers and healthcare providers
• Generate anonymized, aggregate analytics to improve our Services

You are responsible for ensuring your User Content is accurate and does not violate any laws or third-party rights.

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Upload malicious code or content
• Impersonate any person or entity
• Use the Services to transmit spam or unsolicited communications
• Resell or commercially exploit the Services without authorization
• Use automated systems to access the Services (except as authorized)

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, and images) are owned by Distal and protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without prior written consent. The Distal name, logo, and all related names and logos are trademarks of Distal Health, Inc.

We may terminate or suspend your access to the Services:

• For violations of these Terms
• At our discretion with reasonable notice
• Immediately for serious violations or illegal activity

Upon termination, your right to use the Services ceases immediately. You may request an export of your data within 30 days of termination.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Distal shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for Services in the preceding 12 months
• We are not liable for actions or omissions of healthcare providers using our platform
• We are not liable for service interruptions beyond our reasonable control

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that you may bring claims in small claims court if eligible.

You agree to waive any right to a jury trial and to participate in class action lawsuits against Distal.
